END USER LICENSE AGREEMENT ("EULA") FOR RATABLE

IMPORTANT- READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Retable, Inc ("Retable") for the software product Ratable, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively "Software Product"). By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product.
  1. GRANT OF LICENSE. Retable grants you a non-exclusive, non-transferable, limited license to use the Software Product for your personal or internal business purposes, subject to the terms and conditions of this EULA.
  2. INTELLECTUAL PROPERTY RIGHTS. The Software Product is protected by intellectual property laws and treaties. Retable and its licensors own and retain all right, title, and interest in and to the Software Product, including all intellectual property rights. You agree not to remove or alter any copyright, trademark or other proprietary notices on or in the Software Product.
  3. RESTRICTIONS. You may not copy, modify, distribute, sell, or transfer the Software Product or any portion thereof without the express written consent of Retable. You may not reverse engineer, decompile, or disassemble the Software Product, except to the extent that such activity is expressly permitted by applicable law. You may not use the Software Product for any illegal or unauthorized purpose.
  4. DISCLAIMER OF WARRANTIES. THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. RETABLE DOES NOT WARRANT THAT THE SOFTWARE PRODUCT WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OF THE SOFTWARE PRODUCT WILL BE UNINTERRUPTED OR ERROR-FREE.
  5. LIMITATION OF LIABILITY. IN NO EVENT SHALL RETABLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE PRODUCT, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE PRODUCT, EVEN IF RETABLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL RETABLE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE PRODUCT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE PRODUCT.
  6. TERMINATION. This EULA will terminate automatically if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you must cease all use of the Software Product and destroy all copies, full or partial, of the Software Product.
  7. GOVERNING LAW. This EULA will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any action arising out of or related to this EULA or the Software Product must be brought in the state or federal courts located in Santa Clara County, California.
  8. ENTIRE AGREEMENT. This EULA constitutes the entire agreement between you and Ratable with respect to the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Ratable.
  9. SEVERABILITY. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  10. ACKNOWLEDGEMENT. By installing or using the Software, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions.
